3. User Accounts

Some features of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Intellectual Property

All content on this website, including text, graphics, logos, designs, and software, is the property of Gridstart or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

Content created as part of our services for clients is governed by the applicable service agreement. Unless otherwise specified, clients retain ownership of content we create for them after full payment.

5. Payment Terms

Payment terms for our services are defined in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. No Guarantees on Results

SEO, GEO, and AI visibility outcomes depend on many factors outside our control, including search engine algorithm changes, AI system updates, competitive activity, and your website's existing authority. While we apply industry best practices and proven methodologies, we cannot and do not guarantee specific rankings, traffic levels, or AI citation placements.

7. Client Responsibilities

Clients agree to provide timely access to their website, analytics platforms, and other resources necessary for us to perform our services. Delays in providing access or approvals may impact timelines and deliverables. Clients are responsible for the accuracy of information they provide to us.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, analytics data, client lists, and proprietary methodologies. This obligation survives termination of the engagement.

9. Limitation of Liability

To the maximum extent permitted by law, Gridstart shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or data, arising out of or related to your use of our website or services. Our total liability for any claim shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate a service engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate access to our website or services at any time for violation of these terms, with or without notice.

11. Indemnification

You agree to indemnify and hold harmless Gridstart and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our website or services, your violation of these terms, or your violation of any third-party rights.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Delaware.
